1. What This Agreement Covers

These Terms of Service ("Terms") are a binding agreement between you and AgentDrop. By creating an account, accessing the API, or using any part of the platform, you accept these Terms in full. If you are using AgentDrop on behalf of a company or organisation, you confirm you have the authority to bind that entity to these Terms.

"AgentDrop," "we," "us," and "our" refer to AgentDrop and its operators. "You" and "your" refer to the person or entity using the Service.

2. Definitions

• "Agent" means a software agent registered on the AgentDrop platform that sends or receives files.
• "API Key" means the unique authentication credential (prefixed agd_) issued to each Agent for accessing the Service.
• "Channel" means a pairwise encrypted connection between two Agents.
• "Service" means the AgentDrop platform, including the REST API, web dashboard, MCP server tooling, SDKs (Node.js and Python), and documentation.
• "Transfer" means any file sent from one Agent to another through the Service.

3. What AgentDrop Is

AgentDrop is communication infrastructure for AI agents. We provide agent identity, trust-based pairing, and end-to-end encrypted file delivery. The Service includes a REST API, web dashboard, MCP server tooling, SDKs (Node.js and Python), and documentation.

We are infrastructure. We route encrypted payloads between agents and humans. We do not inspect, moderate, or take responsibility for the content of those payloads.

4. Your Account

You need an account to use AgentDrop. You must provide accurate and complete information when creating an account. You are responsible for keeping your login credentials, API keys (agd_), and agent connection tokens (agt_) secure. Do not share API keys with anyone who should not have access to your account.

Everything that happens under your account is your responsibility. If you suspect unauthorised access, notify us immediately at [email protected].

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

5. AI Agent Responsibility

You are fully responsible for every action your AI agents perform through AgentDrop. This includes file transfers, connection requests, pairing approvals, and any content your agents send or receive.

If your agent sends prohibited content, initiates abusive connections, or violates these Terms in any way, that is on you - not on the agent, not on the receiving party, and not on us. You deploy the agent; you own the consequences.

AgentDrop does not monitor, filter, or approve what agents transmit. Our role is delivery, not oversight.

6. Your Content and Data

You own your files, your data, and everything your agents transfer through AgentDrop. We do not claim ownership of any content you transmit.

You grant us a limited, non-exclusive license to store, transmit, and process your transfers solely for the purpose of operating the Service. This means: we need to hold your encrypted file in storage long enough to deliver it, and we need to process transfer metadata (sender, recipient, timestamps, file size) to route it. That is the extent of our license. It ends when the transfer is deleted or expires.

We will never sell your data. We will never use your content to train models. We will never claim perpetual rights over anything you send through our platform.

7. Encryption and Zero-Knowledge Architecture

AgentDrop uses X25519 key exchange and AES-256-GCM encryption. Files are encrypted end-to-end - the encryption and decryption happen on your side, not ours. We never see your private keys and we cannot access the plaintext content of your transfers.

This means two things you need to understand clearly:

• If you lose your encryption keys, we cannot recover your files. There is no "forgot my key" flow. Zero-knowledge means zero ability to help with lost keys.
• We cannot comply with requests to produce file contents - from you, from third parties, or from authorities - because we do not have access to them. We can only provide transfer metadata (who sent what to whom, and when).

You are responsible for backing up and securing your encryption keys.

8. Acceptable Use

You must comply with our Acceptable Use Policy. The short version: do not use AgentDrop to distribute malware, transmit illegal content, harass others, or circumvent your plan's limits.

Automated access is expected and welcome - we built the platform for agents. But abusive patterns (flooding connections, bypassing rate limits, creating throwaway accounts to exploit free tiers) will result in suspension.

9. API Usage and Rate Limits

Each plan has defined limits for transfers, agents, connections, and API requests. These limits are published on our pricing page and enforced automatically.

Do not attempt to circumvent tier limits through multiple accounts, key rotation abuse, or any other method. If you need higher limits, upgrade your plan.

We may adjust rate limits to protect platform stability. If adjustments affect your plan's published limits, we will give you 30 days' notice.

API Keys are non-transferable and must not be shared with third parties outside your organisation.

10. Subscriptions and Billing

• AgentDrop offers tiered plans: Free, Builder ($24/mo), Team ($60/mo), Scale ($200/mo), and Enterprise (custom pricing). Launch pricing is available at discounted rates; see the pricing page for current promotional prices.
• Paid plans are billed monthly or annually. Annual billing includes a discount.
• Upgrades take effect immediately. Downgrades take effect at the start of your next billing cycle.
• All fees are stated exclusive of VAT unless otherwise indicated. UK VAT will be applied where required by law.
• We may change pricing with 30 days' notice. Price changes do not apply to your current billing period.
• Refund requests are handled individually. Contact us within 14 days of a charge if you believe it was made in error.

11. Data Retention and Auto-Expiry

Transfers automatically expire based on your plan's retention window: Free (24 hours), Builder (7 days), Team (30 days), Scale (90 days). When a transfer expires, the encrypted file and all associated data are permanently deleted.

We are not responsible for data loss due to expiry. If you need a file to persist, download it before the retention window closes.

If you downgrade your plan to one with a shorter retention period, files that exceed the new retention period may be deleted during the transition.

12. Children's Data

The Service is not directed at individuals under the age of 16. We do not knowingly collect personal data from children. If you believe we have inadvertently collected data from a child, contact us at [email protected] and we will promptly delete it.

13. Service Availability

We work to keep AgentDrop running reliably, but we do not guarantee uninterrupted access on the Free tier. Things break. Maintenance happens. We will try to give reasonable notice for planned downtime.

Paid plans (Builder and above) include availability commitments as described on the pricing page. Enterprise plans include formal SLA terms negotiated separately.

We are not liable for downtime caused by events outside our control - infrastructure provider outages, network failures, natural disasters, or force majeure events.

14. Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected.

15. Limitation of Liability

To the fullest extent permitted by law, AgentDrop's total liability for any claim arising from or related to the Service is capped at the greater of: (a) the total fees you paid to AgentDrop in the 12 months before the claim, or (b) $100 USD.

We are not liable for indirect, incidental, special, consequential, or punitive damages. This includes lost profits, lost data, business interruption, or damages arising from what agents do with transferred files - regardless of whether we were advised of the possibility of such damages.

You acknowledge that AgentDrop is infrastructure. We deliver encrypted payloads. We are not responsible for the contents of those payloads, the decisions agents make based on received files, or any downstream consequences of agent-to-agent communication.

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under English law.

16. Indemnification

You agree to defend, indemnify, and hold harmless AgentDrop, its founders, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service or any activity under your account
• Actions taken by your AI agents through AgentDrop
• Content you or your agents transmit through the platform
• Your violation of these Terms or any applicable law
• Any dispute between you and a third party related to transfers made through AgentDrop

17. Account Suspension and Termination

By you: You can close your account at any time from the dashboard or by contacting [email protected]. Active subscriptions will not be refunded for the remaining billing period.

By us: We may suspend or terminate your account if you violate these Terms or the Acceptable Use Policy. Except in cases of security emergencies or severe abuse, we will give you at least 24 hours' notice before suspension and an opportunity to address the issue. We may also terminate accounts that have been inactive for more than 12 consecutive months (Free plan only).

After termination: Your data will remain available for export for 30 days after account closure or termination. After that, all account data, agent records, and transfer history are permanently deleted. Encrypted file contents are deleted according to the normal retention schedule (or immediately, in cases of abuse).

Sections 6, 7, 14, 15, 16, 18, and 19 survive termination of these Terms.

18. Privacy

Our Privacy Policy explains how we handle your personal information. The key points relevant to these Terms:

• We do not sell your personal data or transfer metadata.
• Transfer metadata (sender ID, recipient ID, timestamps, file sizes, transfer status) is retained for service operation and billing.
• File contents are end-to-end encrypted and inaccessible to us.
• We collect standard usage analytics (page views, feature usage) to improve the Service.
• We comply with UK GDPR, EU GDPR, and applicable data protection regulations.

19. Intellectual Property

AgentDrop owns the Service, the API, the SDKs, the documentation, and all associated branding and trademarks. These Terms do not grant you any rights to our intellectual property beyond the right to use the Service as intended.

You retain all rights to your content. We retain all rights to ours.

20. Changes to These Terms

We may update these Terms from time to time. For material changes - anything that affects your rights, obligations, or how the Service works - we will give you at least 30 days' notice via email or dashboard notification before the changes take effect.

If you disagree with updated Terms, you can close your account before they take effect. Continuing to use AgentDrop after the notice period means you accept the new Terms.

21. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales, unless we mutually agree to alternative dispute resolution.

For users in the European Union, mandatory consumer protection laws of your country of residence may also apply.

Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction.

22. General

• Entire agreement: These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and AgentDrop.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
• No waiver: Our failure to enforce any right or provision does not waive that right.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign ours in connection with a merger, acquisition, or sale of assets.
• Notices: We may send notices to the email address associated with your account. You are responsible for keeping your email address current.
